Securities and Corporate Work
Mr. Sferrazza performs securities and corporate work for Paul Law Group's publicly traded corporate clients. He has experience drafting complex disclosures for filings required by the U.S. Securities & Exchange Commission ("SEC") under the Securities Exchange Act of 1934 ("Exchange Act"), such as annual reports, quarterly reports, current reports, and proxy statements. He also has significant corporate governance experience. Mr. Sferrazza represents clients seeking to avoid hostile takeover, facilitates internal investigations, and also drafts governance documents, such as charters forming board committees, board resolutions, and certain disclosure policies. His transactional experience ranges from mineral leases for oil and gas companies to private placements and crowd funding for Paul Law Group's private and startup clients.
Mr. Sferrazza also represents public and private companies in securities and complex commercial litigation. He supports representation of clients in both state and federal court, at both the trial and appellate levels, and has taken lead roles in drafting substantive motions and pleadings. Such matters augment Mr. Sferrazza's securities and corporate work with insight into various litigation risks.
Prior to joining Paul Law Group, Mr. Sferrazza served fulltime in the SEC's Law Student Honors Program for the Division of Enforcement at the New York Regional Office. He was assigned to a specialized group called the Asset Management Unit, which prosecutes funds, investment advisers, and their principals under the Investment Company and Advisors Acts of 1940, the Exchange Act, and the Securities Act of 1933. Prior to that, Mr. Sferrazza was an attorney intern for the U.S. Solicitor of Labor in Boston.
Mr. Sferrazza graduated from Boston University School of Law with a J.D. in 2013, where he represented his law school in moot court competitions and was president of the Latin American Law Students Association. During law school, he was a judicial intern for the Honorable Justice Visitacion-Lewis of the New York State Supreme Court. Prior to attending law school, Mr. Sferrazza was a Teach for America Corps Member teaching 6th grade math and English in the Crenshaw district of Los Angeles. Mr. Sferrazza earned his M.Ed. in 2010 and his B.A. in 2007, both from UCLA.
